1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and IT-Rocket Ltd. ("Company," "we," "us," or "our"), concerning your access to and use of the https://itrocket.online/ website (the "Site") and our mobile applications, such as CarPrank and TopPicAI (collectively, the "Services").
You agree that by accessing the Site or using our Services, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Intellectual Property Rights
Unless otherwise indicated, the Services are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and AI models (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not include any resale or commercial use of the Services.

3. User Representations and Acceptable Use
By using the Services, you represent and warrant that you will not use the Services for any illegal or unauthorized purpose. You agree not to:

• Systematically retrieve data or other content from the Services to create a collection or database.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Engage in unauthorized framing of or linking to the Services.
• Trick, defraud, or mislead us or other users.
• Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
• Attempt to bypass any measures of the Services designed to prevent or restrict access.
• Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
• Use any type of automated means to access the Services for any purpose without our express written permission.

4. User-Generated Content and AI Output
4.1. Your Content
Our Services may allow you to create, submit, or generate content. You are solely responsible for the content you create or input into our applications. You agree that your content will not be illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties.
You retain any intellectual property rights you hold in the content you create. However, by using our Services, you grant us a worldwide, royalty-free, non-exclusive license to use, host, and store your content solely for the purpose of providing, improving, and securing the Services (e.g., for support requests). Crucially, for core on-device AI features, your input (sketches, prompts) and output are processed locally and are not transmitted to us.
4.2. AI-Generated Output
The content generated by our AI tools ("AI Output") is for your personal use. We do not claim ownership of the AI Output you create. However, you may not represent that AI Output was human-generated or claim the authorship of another person. You understand and agree that AI Output may not be unique and that other users may generate similar content.

5. Software and Application License
For our mobile applications, we grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the application for your personal, non-commercial purposes strictly in accordance with these Terms and the applicable app store terms (Apple App Store, Google Play Store).

6. Purchases and Subscriptions
Certain features of our Services may be offered on a subscription or one-time purchase basis. All payments are processed by third-party app stores (e.g., Apple, Google). You agree to their payment terms. Prices are subject to change. Subscription fees are billed in advance and are non-refundable except as required by applicable law or the app store's policies.

7. Disclaimer and Limitation of Liability
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IT-ROCKET LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

8. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Services, your breach of these Terms, or your violation of the rights of a third party.

9. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

11. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
